Overview
Welcome to Hurry Hard Music Ltd.
The terms “Hurry Hard Music,” “HHMusic,” “hhmusic,” “we,” “us,” and “our” refer to Hurry Hard Music Ltd. Hurry Hard Music Ltd. operates this website and online store, including the information, content, features, tools, physical products, digital content, service-based offerings, and other services made available through it, collectively referred to as the “Services.”
Our store is hosted by Shopify, which provides the ecommerce platform that enables us to make the Services available to you.
These Terms of Service, together with our Privacy Policy, Refund Policy, Shipping Policy, product descriptions, and any additional terms presented in connection with a particular product or service, describe your rights and responsibilities when you access or use the Services.
Please read these Terms carefully. They include important information concerning purchases, digital music licences, service-based offerings, disclaimers, limitations of liability, and dispute resolution.
By visiting, accessing, interacting with, or using the Services, or by placing an order, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you should not access or use the Services.
Nothing in these Terms excludes, restricts, or limits any right or remedy that cannot lawfully be excluded, restricted, or limited under applicable consumer protection law.
Section 1 — Eligibility, access, and accounts
By using the Services or placing an order, you represent that you are at least the age of majority in your province, state, territory, or country of residence.
If you are under the applicable age of majority, you may use the Services only under the supervision of a parent or legal guardian. A parent or legal guardian who permits a minor to use the Services is responsible for the minor’s use of the Services and purchases made with the parent or guardian’s authorization.
You may be asked to provide information such as your name, email address, telephone number, billing address, shipping address, and payment information. You represent that the information you provide is accurate, current, and complete and that you have the right to provide it.
You are responsible for maintaining the confidentiality and security of your account credentials and for activity conducted through your account. Notify us promptly at merch@hurryhardmusic.com if you believe that your account or payment information has been used without authorization.
You may not sell, transfer, assign, or license your account to another person.
Section 2 — Product and service information
We make reasonable efforts to describe and display our products and service-based offerings accurately.
Product colours, artwork, dimensions, packaging, and appearance may vary slightly from their appearance on your device because of screen settings, manufacturing processes, printing variations, or changes in packaging. Minor variations that do not materially affect the nature or function of a product are not considered defects.
Product photographs, illustrations, and mock-ups are provided for general illustration. Material product characteristics, specifications, inclusions, compatibility requirements, or restrictions disclosed on the applicable product page form part of the description of that product.
We may update product descriptions, discontinue products, or limit quantities or availability by person, household, geographic area, or jurisdiction. These changes apply prospectively and will not materially alter an order that we have already accepted without your agreement.
We do not guarantee that every product or service displayed through the Services will remain available.
Section 3 — Orders and acceptance
Submitting an order constitutes an offer to purchase the products or services listed in the order.
An automated acknowledgment that we received your order does not necessarily mean that the order has been accepted. An order is accepted when we send an order confirmation that expressly confirms acceptance, begin performing the purchased service, deliver digital content, or ship the physical product, whichever occurs first.
We may decline or cancel an order for legitimate reasons, including:
- Product unavailability;
- Payment authorization problems;
- Suspected fraud or unauthorized payment activity;
- An obvious pricing, description, or inventory error;
- Quantity or geographic restrictions;
- Legal or regulatory restrictions; or
- Reasonable grounds to believe that the purchase is intended for unauthorized resale or redistribution.
If we cancel an order after receiving payment, we will refund the amount paid for the cancelled portion of the order.
Please review your order carefully before submitting it. You are responsible for correcting errors in your contact, billing, shipping, product, quantity, format, and sizing information before completing checkout.
After an order has been accepted, we may be unable to change or cancel it. Contact merch@hurryhardmusic.com promptly if you need to request a change, but we do not guarantee that a change or cancellation can be accommodated.
Unless we have agreed otherwise in writing, purchases are intended for personal, family, household, or gift use and not for commercial resale, redistribution, or export.
Pre-orders
When a product is identified as a pre-order, its release date, production date, and shipping date are estimates unless expressly stated otherwise.
Production, release, or delivery dates may change for reasons outside our reasonable control. We will make reasonable efforts to communicate material changes. Any statutory cancellation right arising from a delay remains unaffected.
If an order contains both pre-order and in-stock products, the entire order may be held until all products are available unless the product page or checkout states otherwise.
Section 4 — Prices, payment, and billing
Prices, discounts, and promotions may change without notice. The price charged will be the price displayed at checkout when your order is submitted, subject to correction of an obvious error.
The applicable currency will be displayed during checkout.
Unless expressly stated otherwise, displayed product prices do not include shipping, handling, customs duties, brokerage charges, import taxes, or other charges imposed by a carrier or government authority.
Applicable taxes and shipping charges that can reasonably be determined will be shown before you complete checkout. International customers are responsible for customs duties, brokerage charges, import taxes, and similar destination-country charges unless the order is expressly identified as including those charges.
You agree to provide current, complete, and accurate purchase, payment, and account information.
By providing a payment method, you represent that:
- You are authorized to use that payment method;
- The payment information is accurate;
- Charges incurred through the payment method will be honoured; and
- You will pay all amounts shown at checkout, including applicable taxes and shipping charges.
Payment authorization or collection does not require us to accept an order. Where an order is declined or cancelled, any collected amount will be refunded in accordance with applicable law and our Refund Policy.
Promotions, discount codes, contests, bundles, and special offers may be governed by additional terms. If promotional terms conflict with these Terms, the promotional terms govern that promotion.
Section 5 — Digital music and other digital content
“Digital Content” includes downloadable or streamed music, audio recordings, digital artwork, videos, documents, access codes, and other electronically delivered content.
Unless the applicable product page or a separate written licence states otherwise, purchasing Digital Content gives you a limited, non-exclusive, non-transferable licence to access and use that Digital Content for your personal and non-commercial use.
Your purchase does not transfer copyright or any other intellectual property ownership to you.
Except as permitted by applicable law or expressly authorized in writing by the relevant rights holder, you may not:
- Sell, sublicense, rent, distribute, publish, upload, or share the Digital Content;
- Make Digital Content available through a file-sharing platform or publicly accessible network;
- Use Digital Content for commercial broadcasting, public performance, synchronization, sampling, remixing, advertising, or other commercial exploitation;
- Remove copyright, trademark, rights-management, or attribution notices;
- Circumvent technological protection measures;
- Use Digital Content to create or train a commercial artificial-intelligence model or dataset; or
- Represent that you own or created the Digital Content.
Digital Content is considered delivered when it is made available through the email address, download link, customer account, streaming interface, or other delivery method identified in the order.
You are responsible for confirming that your device and software meet any compatibility requirements disclosed before purchase. We will make reasonable efforts to assist with genuine delivery or access problems, but we do not guarantee that Digital Content will work with every device, operating system, or third-party application.
You should download and securely back up purchased Digital Content within any disclosed download period. We do not guarantee perpetual hosting or unlimited future re-downloads unless expressly stated.
If a Digital Content purchase is refunded or reversed, the associated licence ends and you must stop using and delete all copies of the refunded Digital Content, except where applicable law provides otherwise.
Digital Content is generally final sale after delivery, downloading, streaming, or access has begun, subject to our Refund Policy and mandatory rights under applicable law.
Section 6 — Service-based offerings
A “Service-Based Offering” is a product whose primary component is a service rather than the delivery of physical goods or Digital Content.
The applicable product page, order confirmation, proposal, statement of work, or separate service agreement may specify:
- The service scope;
- Deliverables;
- Included revisions;
- Customer responsibilities;
- Timing or milestones;
- Fees and payment schedule; and
- Additional cancellation or licensing terms.
If a written proposal, statement of work, or service agreement conflicts with these Terms, the order-specific written agreement governs the affected Service-Based Offering.
You agree to provide information, materials, approvals, access, and feedback reasonably required for us to perform the service. Delays in receiving required materials or approvals may extend the delivery schedule.
When you provide audio recordings, compositions, photographs, artwork, logos, names, text, files, or other materials for use in a service, you retain ownership of those materials. You grant us a limited licence to access, copy, modify, and use them solely as reasonably required to perform the purchased service.
You represent that you own or have obtained all permissions required for us to use the materials you provide.
Service-Based Offerings may be cancelled for a refund within 14 calendar days after purchase, provided the service has not started.
A service is considered started when we have begun substantive work, held a session or consultation, delivered any part of the service, or otherwise begun performing the purchased service.
Once a service has started, change-of-mind refunds are not available unless we agree otherwise in writing or a refund is required by applicable law. A difference in subjective or creative preference does not, by itself, mean that a service is defective where it was performed in accordance with the agreed scope.
Additional cancellation and refund provisions are set out in our Refund Policy.
Section 7 — Shipping and delivery
Delivery dates and transit times are estimates unless we expressly guarantee a particular date in writing.
We are not responsible for a delay caused by a carrier, customs authority, labour disruption, natural event, government action, supply-chain interruption, or another event outside our reasonable control. This does not limit any statutory right you may have to cancel because of non-delivery or excessive delay.
You are responsible for providing a complete and accurate delivery address.
If an order is returned because an address was incomplete or incorrect, the customer refused delivery, or the package was not collected, we may require payment of reasonable reshipping costs or deduct permitted return costs from a refund, where allowed by law.
Except where applicable law provides otherwise, title to a physical product passes after we have received full payment and the product has been delivered to the address provided in the order.
Risk of loss or damage ordinarily passes when delivery is completed to you or a person you designated to receive the order.
If you independently arrange a carrier that was not offered through our checkout, risk may pass when the product is transferred to that carrier, to the extent permitted by law.
Please inspect your shipment promptly after delivery.
If a product arrives damaged in transit or appears to contain a manufacturing defect, submit a claim using our Report a Manufacturing Defect or Transit Damage form.
Please retain the product, shipping box, shipping label, packaging materials, and any other relevant evidence until the claim has been resolved. Do not return or dispose of the product unless we instruct you to do so.
Section 8 — Returns, refunds, and cancellations
Purchases are subject to our Refund Policy, which forms part of these Terms.
Except where required by law or expressly provided in our Refund Policy:
- Physical music products, including vinyl records, CDs, cassettes, box sets, and similar recorded-media products, are final sale;
- Apparel, accessories, collectibles, and other merchandise are final sale;
- Personalized, customized, made-to-order, or special-order products are final sale;
- Sale and clearance products are final sale;
- Digital Content is final sale after delivery or access begins;
- Gift cards are final sale; and
- Service-Based Offerings may be cancelled within 14 days only if the service has not started.
We will review claims involving manufacturing defects, transit damage, fulfilment errors, products that are materially different from what was ordered, or other issues covered by mandatory consumer protection law.
An approved claim may be resolved through repair, replacement, refund, or another remedy appropriate to the circumstances and required by applicable law.
Do not return a product without first obtaining return authorization and instructions. Unauthorized returns may be refused and may not qualify for a refund, replacement, or exchange.
If there is a conflict between this section and our Refund Policy concerning a return, refund, replacement, exchange, or cancellation, the Refund Policy governs, subject to applicable law.
Consumers in the European Union and certain other jurisdictions may have mandatory cancellation, withdrawal, conformity, repair, replacement, or refund rights. Nothing in these Terms or our Refund Policy limits those rights where they apply.
Section 9 — Gift cards
Gift cards cannot be returned, exchanged for another gift card, or redeemed for cash except where required by law.
Gift cards purchased in Alberta do not expire and are not subject to inactivity or dormancy fees. Any conditions or restrictions applicable to a gift card will be disclosed at the time of purchase.
A gift card may be used as partial payment where the purchase price exceeds its remaining balance.
Promotional credits or vouchers issued without payment may be subject to different terms, including an expiry date, where permitted by law and clearly disclosed.
Section 10 — Intellectual property
The Services and their content are owned by or licensed to Hurry Hard Music Ltd., our affiliates, artists, labels, licensors, or other rights holders.
Protected content may include:
- Musical compositions;
- Sound recordings;
- Performances;
- Videos;
- Photographs;
- Artwork and album covers;
- Artist names and likenesses;
- Logos and trademarks;
- Written content;
- Product designs;
- Graphics;
- Software;
- Website layouts; and
- The selection and arrangement of the foregoing.
These Terms permit you to use the Services for personal and non-commercial purposes only.
Except as expressly permitted by these Terms or applicable law, you may not reproduce, modify, distribute, publicly display, publicly perform, republish, download, scrape, store, transmit, sell, license, or create derivative works from any part of the Services without the prior written permission of the relevant rights holder.
Nothing in these Terms grants you ownership of or a licence to any trademark, copyright, performer’s right, sound-recording right, moral right, patent, trade secret, or other intellectual property except for the limited rights expressly stated.
“Hurry Hard Music,” “HHMusic,” “hhmusic,” our logos, and our product or service names are trademarks, branding, or trade names of Hurry Hard Music Ltd. or our licensors. They may not be used without prior written permission.
Shopify’s names, logos, product names, service names, designs, and slogans are trademarks of Shopify. Other names, logos, and marks appearing through the Services belong to their respective owners.
Section 11 — Optional and third-party tools
We may provide access to tools, integrations, applications, payment services, or features supplied by third parties.
We do not necessarily monitor or control those third-party tools. They may be provided on an “as is” and “as available” basis and may be governed by separate terms and privacy policies.
Your use of an optional third-party tool is at your discretion. You are responsible for reviewing and accepting the third party’s applicable terms.
To the fullest extent permitted by law, we are not responsible for loss or damage arising solely from a third-party tool that we do not own or control.
New tools, resources, and features that we add to the Services will also be subject to these Terms unless separate terms are presented.
Section 12 — Third-party links and services
The Services may contain links to websites, content, products, or services operated by third parties.
A link does not necessarily mean that we endorse or control the third-party website, content, product, or service.
We are not responsible for examining or verifying the accuracy, security, legality, or practices of a third-party website. Accessing a third-party website is at your discretion and may be governed by that third party’s terms and privacy policy.
Questions or claims concerning a product or service purchased directly from a third party should be directed to that third party.
Section 13 — Relationship with Shopify
Hurry Hard Music Ltd. is powered by Shopify, which enables us to provide the Services to you.
However, purchases made through our store are transactions directly between you and Hurry Hard Music Ltd.
By using the Services, you acknowledge that Shopify is not the seller of our products or Service-Based Offerings and is not responsible for fulfilling our obligations to you.
To the fullest extent permitted by law, Shopify and its affiliates are not responsible for injury, damage, loss, claims, or liabilities arising from products or services purchased directly from Hurry Hard Music Ltd.
You release Shopify and its affiliates from claims arising solely from your purchases or transactions with Hurry Hard Music Ltd., except to the extent that a claim cannot lawfully be released.
Section 14 — Privacy
Personal information collected through the Services is handled in accordance with our Privacy Policy.
Certain personal information may also be processed in accordance with Shopify’s Consumer Privacy Policy.
Because Shopify hosts our store, Shopify processes information relating to your access to and use of the Services. Information may be shared with Shopify, payment providers, shipping providers, applications, service providers, and other parties that assist in operating the store or fulfilling orders.
These parties may process information in countries other than the country where you reside.
Where Shopify Network Intelligence or similar enhanced features are enabled, Shopify may process information based on interactions with our store, other Shopify merchants, and Shopify in order to provide fraud prevention, analytics, advertising, personalization, and other enhanced services, as described in our Privacy Policy and Shopify’s applicable privacy materials.
Section 15 — Reviews, submissions, and feedback
You retain ownership of content you create and submit.
If you intentionally submit a public review, testimonial, photograph, comment, suggestion, or other content for publication or promotional use, you grant us a non-exclusive, worldwide, royalty-free, sublicensable licence to host, reproduce, adapt, publish, display, distribute, and use that content for operating, improving, and promoting the Services.
You represent that:
- You own the submitted content or have permission to submit it;
- The content is accurate to the best of your knowledge;
- You have disclosed any payment, free product, or incentive received in connection with it; and
- The content does not violate another person’s intellectual property, privacy, publicity, contractual, or other rights.
We may moderate or remove public submissions that we reasonably believe are unlawful, fraudulent, threatening, abusive, defamatory, obscene, infringing, misleading, or unrelated to the relevant product or service.
Materials submitted privately through a customer-support, defect, damage, return, or refund claim are not treated as public promotional submissions. We may use those materials to investigate and resolve the claim and otherwise handle them in accordance with our Privacy Policy.
Section 16 — Errors, inaccuracies, and omissions
The Services may occasionally contain typographical errors, inaccurate information, or omissions relating to descriptions, availability, pricing, promotions, shipping charges, delivery times, or other information.
We may correct an error or update information at any time.
If an error materially affects an order we have already accepted, we will notify you and, where appropriate, offer you the choice to:
- Confirm the order based on the corrected information; or
- Cancel the affected portion of the order for a refund.
We will not charge you a corrected or increased price for an accepted order without your agreement.
Section 17 — Prohibited uses
You may access and use the Services only for lawful purposes.
You must not use the Services to:
- Violate an applicable law, regulation, or court order;
- Infringe intellectual property, privacy, publicity, or other legal rights;
- Harass, threaten, abuse, defame, intimidate, or harm another person;
- Submit false, fraudulent, deceptive, or misleading information;
- Impersonate another person or misrepresent your affiliation;
- Place fraudulent orders or use an unauthorized payment method;
- Transmit malware, viruses, malicious code, or destructive technology;
- Send spam, phishing communications, chain messages, or unauthorized advertising;
- Collect or track another person’s personal information without authorization;
- Circumvent digital-rights management, access controls, rate limits, security controls, or purchase limits;
- Interfere with the operation, availability, or security of the Services;
- Scrape, extract, reproduce, or commercially exploit the Services or their content without authorization;
- Purchase products for unauthorized resale or redistribution; or
- Assist another person in engaging in prohibited activity.
We may investigate suspected violations and may suspend or terminate access where reasonably necessary to protect the Services, our customers, rights holders, or third parties.
Section 18 — Automated access and agents
An “Agent” means software or a service that takes autonomous or semi-autonomous action on behalf of a person or organization.
Except for standard search-engine indexing that complies with our technical directives, approved integrations, ordinary browser functionality, and accessibility technologies, an Agent may not access, scrape, purchase through, or interact with the Services without our permission.
An authorized Agent must not:
- Conceal that it is automated;
- Falsely represent itself as a human;
- Circumvent CAPTCHAs, rate limits, security controls, or purchase limits;
- Ignore robot-exclusion instructions or technical restrictions;
- Create accounts or place orders using false information; or
- Interfere with the Services or another customer’s use of them.
We may use technical measures to restrict or block automated access.
Section 19 — Suspension and termination
You may stop using the Services at any time.
We may suspend or terminate your account or access to all or part of the Services if we reasonably believe that:
- You have materially violated these Terms;
- Your activity is fraudulent, unlawful, or harmful;
- Suspension is required to protect an account, payment method, customer, or third party; or
- Suspension is required by law or a service provider.
Where appropriate, we may provide notice and an opportunity to address the issue. Immediate action may be taken where reasonably necessary for fraud prevention, security, legal compliance, or protection from harm.
Termination does not cancel payment obligations already incurred. An accepted order will remain subject to these Terms unless it is separately cancelled or refunded.
Sections that by their nature should survive termination will continue to apply, including sections concerning intellectual property, Digital Content licences, user submissions, disclaimers, liability, indemnification, governing law, and accrued payment obligations.
Section 20 — Disclaimer of warranties
Information made available through the Services is provided for general informational purposes. We do not guarantee that general website content will always be complete, current, or free from error.
The website, account features, and optional tools are provided on an “as is” and “as available” basis to the fullest extent permitted by law. We do not guarantee that the website will always be uninterrupted, secure, timely, or error-free.
Products and Service-Based Offerings remain subject to:
- Their express descriptions;
- Any written warranty we provide;
- Our Refund Policy; and
- Mandatory warranties, conditions, guarantees, and remedies under applicable law.
To the fullest extent permitted by law, we disclaim implied warranties or conditions not expressly stated, including implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, title, durability, and non-infringement.
This disclaimer does not exclude any warranty, condition, guarantee, or remedy that cannot lawfully be excluded.
Section 21 — Limitation of liability
To the fullest extent permitted by law, Hurry Hard Music Ltd. and our directors, officers, employees, affiliates, contractors, agents, licensors, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including loss of profits, revenue, business opportunity, goodwill, or data, arising from the Services or a purchase.
For a claim arising from a particular product or Service-Based Offering, our total aggregate liability will not exceed the amount you paid to us for the product or service giving rise to the claim.
For a claim that does not arise from a purchase, our total aggregate liability will not exceed CAD $100.
These exclusions and limitations do not apply to:
- Fraud or fraudulent misrepresentation;
- Wilful misconduct;
- Gross negligence where it cannot be limited;
- Death or personal injury caused by negligence where liability cannot be limited;
- A breach of a mandatory consumer right;
- An obligation to issue an approved refund; or
- Any other liability that applicable law does not permit us to exclude or limit.
Some jurisdictions do not allow particular exclusions or limitations. In those jurisdictions, our liability will be limited only to the maximum extent permitted by law.
Section 22 — Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Hurry Hard Music Ltd., Shopify, and our respective affiliates, directors, officers, employees, agents, licensors, and service providers from third-party claims, losses, damages, and reasonable legal costs arising from:
- Materials you provided that infringe another person’s rights;
- Your unlawful or fraudulent use of the Services;
- Your unauthorized commercial exploitation or redistribution of our content or Digital Content; or
- Your wilful or material breach of these Terms.
This obligation does not apply to the extent that a claim was caused by our own negligence, breach, or unlawful conduct.
We will provide reasonable notice of an indemnified claim. You agree to cooperate in its defence. We will not agree to a settlement that imposes a personal admission of wrongdoing or non-monetary obligation on you without your consent, which will not be unreasonably withheld.
Section 23 — Events outside reasonable control
Neither party will be responsible for a failure or delay caused by an event outside that party’s reasonable control, including a natural disaster, severe weather, fire, epidemic, labour disruption, carrier interruption, supply shortage, utility failure, cyberattack, government action, war, civil disturbance, or failure of a third-party network or platform.
The affected party will make reasonable efforts to reduce the impact and resume performance.
This section does not excuse payment obligations already due, approved refund obligations, or mandatory cancellation and refund rights.
Section 24 — Severability
If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed to the minimum extent necessary.
The remaining provisions will remain valid and enforceable.
Section 25 — Waiver and entire agreement
A delay or failure to enforce a right under these Terms does not waive that right.
These Terms, together with the policies and order-specific terms incorporated by reference, constitute the agreement between you and Hurry Hard Music Ltd. concerning your use of the Services and purchases made through the store.
Nothing in this section excludes liability for a representation or obligation that cannot lawfully be excluded.
Section 26 — Assignment
You may not assign or transfer your account or your rights or obligations under these Terms without our written consent, except where applicable law permits otherwise.
We may assign these Terms as part of a merger, reorganization, financing, asset sale, corporate restructuring, or transfer of the Services, provided that the assignment does not reduce any mandatory consumer right or an accepted order obligation.
We will provide notice where required by law.
Section 27 — Governing law and jurisdiction
These Terms and any separate agreement through which we provide products or services are governed by the laws of the Province of Alberta and the federal laws of Canada applicable in Alberta, without regard to conflict-of-law principles.
Subject to any mandatory right you may have under the law of your place of residence, disputes may be brought before the courts of Alberta, Canada.
Nothing in this section prevents a consumer from bringing a claim in another court or forum where applicable consumer law gives the consumer that right.
Section 28 — Changes to these Terms
You may review the current version of these Terms on this page.
We may update these Terms from time to time by posting a revised version and updating the “Last updated” date.
Material changes will take effect on the date identified in the notice or revised Terms. Where required by law, we will provide additional notice or obtain consent.
The version in effect when an order is accepted will ordinarily continue to govern that order. We will not retroactively impose a material adverse change on an accepted order unless:
- The change is required by law;
- You expressly agree to it; or
- The change does not materially reduce your rights.
Your continued use of the Services after revised Terms take effect constitutes acceptance of the revised Terms for future use of the Services.
